This Agreement constitutes the entire agreement of the parties relating to the subject matter addressed in this Agreement. This Agreement supersedes all prior communications, contracts, or agreements between the parties with respect to the subject matter addressed in this Agreement, whether oral or written. This Agreement is between the individual subscriber, hereby referred to as “Subscriber,” and SecurMEDIC™, A wholly owned trademark of Solutions Protexia Inc., hereby referred to as “SecurMEDIC™”.

1. AGREEMENT: The Subscriber hereby agrees to pay SecurMEDIC™, a monthly fee plus applicable taxes for rental and/or monitoring service. The Subscriber personally guarantees the rental, loan and/or monitoring service payments. SecurMEDIC™ does reserve the right to adjust prices to reflect changes in costs without prior consent of the Subscriber. SecurMEDIC™ will do its best to advise its Subscriber of any changes in fee structure. In order to cancel the subscription, you must contact SecurMEDIC™ to cancel service and arrange return of equipment.

2. TERM: The initial period of this agreement is 1 month from the date of purchase and will automatically extend on a month-to-month basis. SecurMEDIC™ reserves the right to terminate this agreement for any reason. The Subscriber may terminate this agreement at any time subject to a fee equivalent to one (1) monthly payment.

3. MONITORING AGREEMENT: The Subscriber agrees that the medical alert system may be bypassed, misused, or damaged and may not always operate properly for numerous reasons. SecurMEDIC™ monitoring service does not replace the services of fire departments, police departments or emergency medical units. When receiving a medical alert signal, SecurMEDIC™ will use reasonable efforts to contact people figuring on the emergency response contact list provided by the Subscriber.

4. SUBSCRIBER DUTIES: The Subscriber is solely responsible for fines/charges imposed by any authority. The Subscriber is also responsible for providing accurate and updated account information, including, but not limited to location, addresses, directions, telephone numbers, health related matter and names for a call list so that someone will always be available in the event of an alarm signal. In the event of any problem with the equipment or periodic tests, The Subscriber will immediately notify SecurMEDIC™. Is is the Subscriber's sole responsibility to maintain the monitoring equipment in proper working order. All information gathered is held in confidence according to SecurMEDIC™’s privacy policy.

5. LIMITATIONS: SecurMEDIC™ transmits and receive data via a standard landline and/or cellular network. Accordingly, if the communications service is interrupted by any cause, there will be no indication of such interruption at the monitoring facility, and SecurMEDIC™ will not receive any alert signal and as a consequence, will not be able to notify authorities of any emergency. Until such telecommunication problem is resolved, SecurMEDIC™ would have no means or obligation to perform its services. Also, the Subscriber acknowledges that communication through the two way voice panel, when using a standard landline, is contingent on the phone line not being already in use.

6. FINES & FEES: Following a false alarm, Regardless of the reason, any fine and/or fees imposed by any governmental agencies, is the sole responsibility of the Subscriber.

7. FORCED ENTRY: The Subscriber agrees that emergency response units sent to the location for which an emergency signal has been received may be required to enter the premise by force or any other means to respond to the emergency. The Subscriber recognizes that Such Forced Entry may result in damage to the property. All damage resulting from the intervention of any emergency personal is the sole responsibility of the Subscriber.

8. CREDIT CARD PAYMENTS: An automatic recurring payment in the amount provided to you in writing, electronically, or as described to you by the SecurMEDIC™ representative will be made every month ("Monthly Payment") for renewal of your subscription on a recurring basis. Such payment will be perceived by SecurMEDIC™ from the Credit Card account specified by the Subscriber to the SecurMEDIC™. The Subscriber is responsible for notifying SecurMEDIC™ of any change in Credit card information and/or expiry date.

9. NO LIABILITY, INDEMNITY: SecurMEDIC™ shall not be liable for any general, direct, special, exemplary, punitive, incidental or consequential damages. Any affirmation of fact or promise made by the company shall not be deemed to create an express warranty. SecurMEDIC™ does not make any representation or warranty including any implied warranty of merchantability or fitness that the system or service supplied may not be compromised, circumvented, or the system or services will in all cases provide the signaling, monitoring and response for which it was intended. SecurMEDIC™ is not responsible, and will not be held accountable for delays in response time between the Emergency Response Center and local emergency services and/or any failure to contact local emergency services for any reason whatsoever.

10. SUSPENSION OR CANCELLATION: It is understood that SecurMEDIC™, after having given 30 days written notice, may immediately cease the monitoring or other servicing of the system for the following reasons :

  • If the Subscriber does not make equipment, monitoring, or related payments when due.
  • If the monitoring service receives too many false alarms from the alarm system.
  • SecurMEDIC™ may, at any time, cancel this agreement at our option if our alarm monitoring center is destroyed or damaged so that it is impractical for us to continue service or we cannot acquire or retain the transmission connections or authorization to transmit signals between your premises and our alarm monitoring center or the applicable fire or police department or agency.
  • Upon suspension of monitoring service for any reason, immediately disconnect your alarm system from sending signals to the central monitoring station or be responsible for all fines, fees or penalties that may be imposed by telephone companies, government agencies, the central monitoring station and/or other parties.

11. CONSEQUENCES OF LATE/NON PAYMENT: In the event of late/non payment the following consequences apply :

  • A $25.00 Late Payment Fee will be charged.
  • Monthly interest charges of 2% will be applied to overdue balance.
  • As described at clause 10 above, SecurMEDIC™ may cease monitoring or other servicing of the system.

12. REPRESENTATIONS AND WARRANTIES: All SecurMEDIC™ equipments come with a guarantee that covers the original owner, with proof of purchase, for the usable lifetime of the product (excluding batteries). We are aware that from time to time faults can appear; should a product fail due to defects in workmanship and/or materials, we will repair the item free of charge or replace at our discretion. Failure to produce proof of purchase invalidates your warranty. Products which are damaged as a result of accident, wear and tear, improper care or negligence, or the natural breakdown of materials over time, even if accelerated by environmental conditions, are excluded from warranty.

13. RETURNS: Return Policy

14. ELECTRONIC BILLING: All billing and tax correspondence will be transmitted via email unless specifically requested by the Subscriber shall be delivered via electronic mail. Subscriber requesting paper billing and/or tax receipts shall be charged a fee as set by the SecurMEDIC™.

15. MISCELLANEOUS: The parties agree to have this contract drafted in the English language. The parties further agree that the laws of Quebec and Canada shall be the governing laws with respect to this agreement. All funds referred to in this agreement are in Canadian Dollars. This agreement constitutes the entire agreement between the Customer and SecurMEDIC™.

Subscriber hereby acknowledges having read the terms and conditions of this agreement. Activating the SecurMEDIC™ Monitoring service is a conclusive evidence of this acknowledgement.
